Guided Makers Elevate Program Agreement

This Agreement ("Agreement") is entered into by and between Guided Makers ("Company") and Client ("Client") as of the Effective Date above. By enrolling in the Guided Makers Elevate Program ("Program"), Client agrees to the following terms and conditions: 

 

Scheduling and Session Use 

The Client acknowledges that monthly coaching hours are provided in flexible increments of thirty (30) minutes or sixty (60) minutes. All sessions must be scheduled in advance through the Company’s booking system. Unused coaching hours shall not roll over to subsequent months. Single-session consultations of one (1) hour must be utilized in a single continuous session. 

 

Communication Access 

The Client shall have direct access to Rachel via email or scheduled calls as part of the coaching plan. Email support is intended solely for guidance, troubleshooting, and follow-up questions related to the Client’s coaching plan. The Company will respond to email inquiries within one to two (1–2) business days. 

 

Cancellations and Rescheduling 

Sessions may be rescheduled by the Client with at least twenty-four (24) hours’ notice. Missed or late-cancelled sessions will be deducted from the Client’s monthly coaching hours. Monthly plans may be canceled at any time with a minimum of two (2) weeks’ notice; however, services shall remain active through the end of the current billing cycle. 

 

Billing and Payments 

Monthly coaching plans shall be billed automatically each month. All payments are non-refundable once the billing cycle begins. Plan upgrades or downgrades may be made prior to the next billing cycle. Payments not received within five (5) days of the due date may result in suspension of services until payment is made. 

 

Website Terms and Conditions 

All content on the Website, including text, images, videos, and software, is protected by copyright and other intellectual property laws. You may not copy, modify, reproduce, distribute, or publish any content on the Website without our express written permission. 

The following activities are prohibited on the Website: Uploading or transmitting any content that is unlawful, harmful, threatening, abusive, harassing, tortious, defamatory, vulgar, obscene, pornographic, libelous, or invasive of another's privacy. Impersonating any person or entity, or falsely stating or otherwise misrepresenting your affiliation with any person or entity. Forging headers or otherwise manipulating identifiers in order to disguise the origin of any content transmitted through the Website. Uploading or transmitting any viruses, Trojan horses, worms, or other malicious software. Interfering with or disrupting the operation of the Website or the servers or networks connected to the Website. Collecting or storing personal data about other users of the Website without their express consent.​ 

 

Templates and Resources 

The Client shall receive access via the company website to select Guided Makers templates, including finance, planning, and development resources. Such templates are provided for the Client’s personal business use only and may not be shared, resold, or distributed. The reproduction, distribution and sale of these materials by anyone but the Company is strictly prohibited; 

 

Confidentiality & Intellectual Property 

All conversations, materials, and business information shared during coaching shall be kept strictly confidential. The Company shall not disclose Client information to third parties unless required by law. That any Confidential Information shared by any representative of the Company is confidential and Proprietary, and belongs solely and exclusively to the Company. 

 

Vendor and Factory Introductions 

Introductions to vendors and factories shall be made at the discretion of the Company based on fit, readiness, and project scope. The Company does not guarantee vendor availability, pricing, or production capacity. 

 

Scope of Support 

Coaching services shall cover business planning, product development, sourcing, operations, financial modeling, and strategic guidance. Coaching does not replace legal, tax, or financial advisory services. All decisions made based on coaching guidance remain the sole responsibility of the Client. 

 

Code of Conduct 

The Company maintains a respectful and professional environment for all Clients. Abusive, discriminatory, or inappropriate behavior by the Client may result in termination of services without a refund. 

 

Terms Updates 

The Company may update these policies as needed. Clients shall be notified of any material changes. 

 

Governing Law and Jurisdiction 

This Agreement shall be governed by and construed in accordance with the laws of the State of Maine. Any disputes arising under this Agreement shall be subject to the exclusive jurisdiction of the courts located in Maine. 

 

Dispute Resolution 

In the event of a dispute, both parties agree to attempt resolution through mediation prior to pursuing litigation or arbitration. 

The amount of liability recoverable for any cause of action that arises under this agreement shall not exceed the amount paid for services outlined in this agreement, regardless of whether the cause of action is based in tort, contract or any other theory of liability. Under no circumstances will the company be liable for special, incidental, indirect, or consequential damages of any kind, or for any loss of use, business interruption, costs of procurement of substitute goods or services, lost profits, or lost data, even if the client has been advised of the possibility of such damages. 

 

Force Majeure 

Neither party shall be liable for delays or failure to perform due to causes beyond their reasonable control, including but not limited to natural disasters, acts of government, or other unforeseen events. 

 

Termination 

Either party may terminate this Agreement for breach of terms or misconduct with immediate effect. The Client may terminate voluntarily with notice; services shall remain active through the current billing cycle. 

 

Limitation of Liability 

The Company’s liability under this Agreement shall not exceed the total amount paid by the Client during the current billing cycle. The Company shall not be liable for indirect or consequential damages. 

 

Non-Solicitation 

The Client agrees not to solicit or engage the Company’s partners directly for a period of twelve (12) months following termination of this Agreement. 

 

Entire Agreement and Severability 

This Agreement constitutes the entire understanding between the parties. If any provision is found invalid, the remaining provisions shall remain in full force and effect.
